DISCOUNT LIME - TERMS OF SERVICE

1. Agreement to Terms

By accessing or using the Discount Lime website (the "Site") or the Discount Lime Chrome browser extension (the "Extension"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

These Terms form a legally binding agreement between you and Discount Lime ("we," "us," or "our"). The Site, Extension, and all related features are referred to collectively as the "Service."

Discount Lime is a trade name of Grouper Games LLC, a North Carolina limited liability company.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

Discount Lime is an independent automation tool designed to help Etsy marketplace sellers manage sales and discounts on their shops more efficiently. The Service operates through two components:

• The Site (discountlime.com): Where you create an account, purchase credits, and manage your settings.
• The Extension: A Google Chrome browser extension that, while you are logged into your Etsy account, automates the setup of sales and discounts using the credits in your Discount Lime account.

Discount Lime is not affiliated with, endorsed by, sponsored by, or partnered with Etsy, Inc. in any way. Etsy is a registered trademark of Etsy, Inc. Changes to Etsy's platform may affect or disable the functionality of the Extension at any time.

4. Account Registration

To use the Service, you must register using your email address. We use a magic-link / one-time code login system; no password is required. You are responsible for maintaining the confidentiality of your account credentials and license key, and for all activity that occurs under your account. Notify us immediately at support@discountlime.com if you suspect any unauthorized use of your account.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

• Use the Service in any way that violates Etsy's Terms of Use, Seller Policy, or any other applicable Etsy policies.
• Use the Service to spam, defraud, harass, or harm any person or entity.
• Reverse engineer, decompile, disassemble, or otherwise tamper with the Extension or any other component of the Service.
• Attempt to circumvent any security feature, rate limit, or access control of the Service.
• Share, sell, sublicense, or transfer your license key or account access to any third party.
• Use the Service in a manner that interferes with or disrupts Discount Lime's infrastructure or Etsy's platform.
• Use the Service in violation of any applicable local, national, or international law or regulation.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated this section.

7. Service Availability and Changes

We strive to provide reliable access to the Service but do not guarantee uninterrupted, error-free, or perpetual availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including changes to Etsy's platform that may impair or disable the Extension's functionality.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice of material changes that affect your use of the Service.

The Service integrates with or depends on third-party services, including Etsy and Stripe. Your use of those third-party services is governed by their respective terms and privacy policies. We are not responsible for the conduct, content, availability, or practices of any third-party service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE SPECIFICALLY MAKE NO WARRANTY THAT:

• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;
• THE EXTENSION WILL REMAIN COMPATIBLE WITH ETSY'S PLATFORM.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DISCOUNT LIME AND ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR SUSPENSION OR TERMINATION OF YOUR ETSY ACCOUNT, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DISCOUNT LIME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS (USD $50.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Discount Lime and its owners, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Etsy's terms of use; or (d) any content you submit to us.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict-of-law provisions. You agree that any dispute arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in North Carolina, and you hereby consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or by a prominent notice on the Site prior to the changes becoming effective. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
